These Terms of Use and End User License Agreement (“Terms”) govern your access to and use of applications, websites, digital products, content, features, services, exercises, written materials, designs, graphics, prompts, workflows, and related materials provided by AlcheMood LLC, including BioBreathe™ by AlcheMood™ (collectively, the “AlcheMood Products”).
By downloading, installing, accessing, browsing, or using any AlcheMood Product, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree to these Terms, do not download, install, access, or use the AlcheMood Products.
1. OWNERSHIP AND INTELLECTUAL PROPERTY
The AlcheMood Products and all content and materials contained within or associated with them—including text, written exercises, breathing practices, visual designs, graphics, prompts, logos, names, product concepts, structure, organization, look and feel, user-interface elements, workflows, screenshots, documentation, software, source code, object code, features, and original materials—are owned by AlcheMood LLC or its licensors, except where otherwise stated.
BioBreathe™, AlcheMood™, the AlcheMood name and logo, brand identity, product names, original content, designs, written materials, workflows, prompts, features, and related materials may be protected by copyright, trademark, trade-dress, trade-secret, patent, and other applicable intellectual-property and proprietary-rights laws.
All rights not expressly granted in these Terms are reserved by AlcheMood LLC.
Nothing in these Terms transfers to you any ownership, copyright, trademark, patent, trade-secret, or other intellectual-property or proprietary right.
You may not use the BioBreathe or AlcheMood names, logos, branding, product names, content, designs, or materials in a manner that suggests ownership, affiliation, endorsement, sponsorship, partnership, or authorization without prior written permission from AlcheMood LLC.
2. LIMITED LICENSE
Subject to your compliance with these Terms, AlcheMood LLC grants you a limited, personal, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the AlcheMood Products solely for your own lawful, personal, and noncommercial use.
This license does not permit you to:

3. GENERAL WELLNESS PURPOSE ONLY
The AlcheMood Products are provided solely for general wellness, breathing practice, mindfulness, self-reflection, education, personal awareness, and personal-development purposes.
The AlcheMood Products do not provide:
Use of an AlcheMood Product does not create a therapist-client, provider-patient, counselor-client, supervisory, consulting, fiduciary, or other professional relationship with AlcheMood LLC, its Founder, or any affiliated person.
The AlcheMood Products are not substitutes for qualified medical care, mental-health treatment, psychotherapy, crisis services, diagnosis, or treatment.
You should consult a qualified health professional regarding medical, psychological, emotional, psychiatric, or physiological concerns.
4. EMERGENCIES AND CRISIS SITUATIONS
The AlcheMood Products are not emergency services and are not designed to detect or respond to emergencies, suicidal thoughts, self-harm, violence risk, medical crises, psychiatric crises, or other urgent safety concerns.
If you are experiencing a medical or mental-health emergency, thoughts of harming yourself or someone else, or another immediate safety concern, contact emergency services or an appropriate local crisis resource immediately.
Do not rely on an AlcheMood Product to summon assistance, notify another person, monitor your safety, or intervene during an emergency.
5. APPLE HEALTH, HEART RATE, SENSORS, AND BIOFEEDBACK
Some AlcheMood Products, including BioBreathe, may access heart-rate information from the Apple Health app and Apple Watch after you grant the required permission.
Heart-rate information may be used during a BioBreathe session to support real-time breathing guidance and wellness-oriented biofeedback.
Heart-rate and physiological information displayed or used by an AlcheMood Product may be delayed, unavailable, incomplete, inaccurate, or affected by:
The AlcheMood Products are not medical monitors and must not be used to detect, diagnose, monitor, prevent, or treat any medical, psychological, psychiatric, or physiological condition.
You must not rely on heart-rate readings, breathing recommendations, haptic guidance, app-generated trends, or post-session information for clinical or emergency decision-making.
Apple’s consumer-facing guidance recommends referring to health-data access through the Apple Health app; “HealthKit” is the developer framework used for that access.
6. ICLOUD, CLOUDKIT, AND DEVICE CONNECTIVITY
Certain AlcheMood products, including BioBreathe, rely on Apple technologies such as Apple Watch, HealthKit, CloudKit, WatchConnectivity, Bluetooth, internet connectivity, an Apple ID, and compatible Apple hardware and software.
For BioBreathe, the following information is stored in the user's private Apple CloudKit database:
Individual heart-rate measurements are used during active BioBreathe sessions to support real-time breathing guidance and are not stored in CloudKit session records.
Session information is synchronized between the user's paired Apple Watch and iPhone so completed sessions can appear in the BioBreathe iPhone app.
Some BioBreathe features require Apple services and device permissions to function. If required permissions are denied, iCloud is disabled, an Apple account is unavailable, compatible devices are disconnected, or required Apple services are unavailable, certain features may be limited or unavailable.

7. USER RESPONSIBILITY AND SAFETY
You are responsible for determining whether an AlcheMood Product is appropriate for you and for using it safely.

8. AGE REQUIREMENTS
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the AlcheMood Products independently.

9. NO RESEARCH, SCRAPING, BENCHMARKING, OR AI TRAINING
Unless AlcheMood LLC gives prior written permission, you may not use any AlcheMood Product or related content, structure, user experience, outputs, concepts, workflows, screenshots, metadata, prompts, design elements, documentation, or materials for:
You may not access, copy, scrape, crawl, extract, archive, monitor, reproduce, record, download in bulk, analyze, or otherwise collect AlcheMood content through automated tools, bots, scripts, crawlers, screen-recording systems, extraction tools, or similar technologies.
You may not use the AlcheMood Products or their materials to develop, improve, compare, evaluate, train, market, or support any competing:
No license is granted for use of AlcheMood content or materials in connection with artificial-intelligence systems, machine-learning systems, model training, benchmarking, retrieval pipelines, or automated data-processing systems.

Your use of the AlcheMood Products is also governed by the AlcheMood Privacy Policy.
The Privacy Policy explains how BioBreathe handles Apple Health information, session records, CloudKit storage, website submissions, waitlist information, cookies, service providers, retention, and privacy choices.
By using the AlcheMood Products, you acknowledge the Privacy Policy.
Your agreement to these Terms does not constitute consent to any data practice for which separate consent is required by law or by a device platform.
12. APP STORE TERMS
For an AlcheMood Product obtained through the Apple App Store, you and AlcheMood LLC acknowledge and agree that these Terms are concluded solely between you and AlcheMood LLC, not with Apple Inc.
AlcheMood LLC, not Apple, is solely responsible for the applicable AlcheMood Product and its content.
Subject to these Terms, AlcheMood LLC grants you a limited, personal, non-exclusive, non-transferable, and revocable license to use the applicable AlcheMood Product on Apple-branded products that you own or control and as permitted by the usage rules in the Apple Media Services Terms and Conditions. The application may also be accessed and used by accounts associated with the purchaser through Family Sharing or volume purchasing where permitted.
Maintenance and support
AlcheMood LLC is solely responsible for maintenance and support services for the AlcheMood Products to the extent specified in these Terms or required by applicable law.
Apple has no obligation to provide maintenance or support for the AlcheMood Products.
Warranty obligations
AlcheMood LLC is solely responsible for any warranties that cannot be lawfully disclaimed.
If an AlcheMood Product obtained through the Apple App Store fails to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for that application.
To the maximum extent permitted by applicable law, Apple has no other warranty obligation regarding the AlcheMood Product.
AlcheMood LLC is responsible for other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty.
Product claims
AlcheMood LLC, not Apple, is responsible for addressing claims relating to an AlcheMood Product or your possession or use of it, including:
Intellectual-property claims
If a third party claims that an AlcheMood Product, or your possession or use of it, infringes that party’s intellectual-property rights, AlcheMood LLC, not Apple, is responsible for investigating, defending, settling, and resolving the claim.

You must comply with applicable third-party terms while using an AlcheMood Product, including terms governing:

You and AlcheMood LLC acknowledge and agree that Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to AlcheMood Products obtained through the Apple App Store.
Upon your acceptance of these Terms, Apple has the right to enforce these App Store provisions against you as a third-party beneficiary.
These provisions reflect Apple’s minimum required terms for a developer-provided custom EULA.
13. SUBSCRIPTIONS, PAYMENTS, AND PURCHASES
Certain AlcheMood Products may offer paid downloads, subscriptions, in-app purchases, or other paid features.
Payments may be processed through Apple, another app store, or an authorized payment provider.
Subscription terms, pricing, renewal frequency, available features, and cancellation procedures will be disclosed at the point of purchase.
Subscriptions may renew automatically unless canceled through the applicable app-store or payment-provider settings before the renewal date.
You are responsible for managing your subscription through the platform through which it was purchased.
Refunds, where available, are governed by the policies of the applicable app store, payment provider, and applicable law.
Prices, features, availability, and subscription offerings may change in accordance with applicable law and platform requirements.
14. NO GUARANTEE OF RESULTS
The AlcheMood Products are intended to support general wellness, breathing practice, mindfulness, self-reflection, and personal awareness.
AlcheMood LLC does not promise or guarantee any particular:

15. AVAILABILITY AND PRODUCT CHANGES
AlcheMood LLC may update, modify, add, remove, suspend, restrict, or discontinue any AlcheMood Product, feature, content item, or service at any time.
AlcheMood LLC does not guarantee that any product, feature, platform integration, device capability, or service will remain continuously available.
Updates may be required for continued use.
Some functionality may change because of updates to Apple software, Apple Watch, Apple Health, CloudKit, device hardware, operating systems, app-store requirements, or third-party services.
16. UPDATES TO THESE TERMS
AlcheMood LLC may revise these Terms from time to time.
The revised Terms will be posted with an updated “Last Updated” date.
When appropriate, AlcheMood LLC may provide additional notice through the website, application, email, or another reasonable method.
Your continued use of an AlcheMood Product after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If you do not accept revised Terms, you must stop using the AlcheMood Products.
17. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by applicable law, the AlcheMood Products are provided “as is” and “as available.”
AlcheMood LLC disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and quiet enjoyment.
AlcheMood LLC does not warrant that the AlcheMood Products will be:

18. ASSUMPTION OF RISK

21. FEEDBACK AND SUGGESTIONS
If you voluntarily provide ideas, suggestions, comments, improvements, feature requests, recommendations, testimonials, or other feedback, you grant AlcheMood LLC a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, modify, reproduce, publish, distribute, display, perform, and incorporate that feedback for any lawful purpose without compensation or attribution.

24. TERMINATION
AlcheMood LLC may suspend, restrict, or terminate your access to an AlcheMood Product if you:

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
To the extent permitted by applicable law, any legal action arising out of or relating to these Terms or an AlcheMood product must be brought in a state or federal court located in New York County, New York.
Nothing in this section limits any consumer right or legal remedy that cannot lawfully be waived.
26. INTERNATIONAL USE
The AlcheMood Products are operated from the United States.
AlcheMood LLC does not represent that an AlcheMood Product is appropriate, available, or lawful in every country, territory, or jurisdiction.
If you access an AlcheMood Product outside the United States, you are responsible for complying with applicable local laws.
27. SEVERABILITY
If a provision of these Terms is found unlawful, invalid, or unenforceable, that provision will be limited or modified to the minimum extent necessary to make it enforceable.
If it cannot be made enforceable, it will be severed.
The remaining provisions will remain in full force and effect.
28. NO WAIVER
A failure or delay by AlcheMood LLC in enforcing a right or provision does not waive that right or provision.
A waiver is effective only if made in writing by an authorized representative of AlcheMood LLC.
29. ASSIGNMENT
You may not assign or transfer these Terms or your rights under them without prior written permission from AlcheMood LLC.
AlcheMood LLC may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or operation of law, subject to applicable law.
30. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any product-specific terms presented at the time of purchase or use, constitute the entire agreement between you and AlcheMood LLC regarding the AlcheMood Products.
They supersede prior or contemporaneous communications concerning the same subject matter.
If product-specific terms conflict with these Terms, the product-specific terms control only with respect to the applicable product and only to the extent of the conflict.
